Terms & Conditions

By engaging with O3GenAI IT Solutions ("Company," "we," "us," or "our") for any service — whether through our website, a signed proposal, verbal agreement, advance payment, or any other means — you ("Client," "you," or "your") agree to be bound by these Terms & Conditions in their entirety.

If you do not agree with any part of these terms, please refrain from availing our services. These terms apply to all services rendered by O3GenAI IT Solutions, including but not limited to website development, landing pages, social media management, Meta advertising, SEO, GMB management, content creation, photography & videography, and AI/automation solutions.

O3GenAI IT Solutions provides digital marketing and technology services to businesses, primarily in the real estate sector. Our services include, but are not limited to:

• Website Development & Landing Pages — design, development, and deployment of web properties.

• Social Media Creatives — design of static posts, reels, stories, and branded content.

• Social Media Handling — management of social media accounts, content calendars, and community engagement.

• Photography & Videography — on-site shooting and post-production editing (advance booking required).

• Meta Ads — Facebook and Instagram paid advertising campaign setup and management.

• SEO — on-page and off-page search engine optimisation over a defined engagement period.

• GMB Management — Google My Business profile optimisation and ongoing management.

• Web Solutions — custom web applications, integrations, and CRM setups.

The scope, deliverables, timelines, and pricing for each service are defined in the individual proposal or service agreement provided to you prior to commencement.

3.1 Advance Payment: All services require a minimum advance payment before work commences. The specific advance amount is stated in your project proposal.

3.2 Milestone Payments: For larger engagements, payments are structured around project milestones as agreed in the proposal. Work on subsequent milestones will not begin until the corresponding milestone payment is received.

3.3 Retainer Services: Monthly retainer services (social media management, Meta Ads, SEO, GMB) are billed at the start of each billing cycle. Non-payment within seven (7) days of the due date may result in a pause or termination of services.

3.4 GST: All prices quoted are exclusive of Goods and Services Tax (GST) unless explicitly stated otherwise. GST at the applicable rate will be added to all invoices.

3.5 Late Payments: Payments overdue by more than fifteen (15) days may attract a late payment fee of 2% per month on the outstanding amount. O3GenAI IT Solutions reserves the right to pause all active work during any period of outstanding payment.

3.6 Payment Methods: Payments are accepted via bank transfer (NEFT/IMPS/RTGS), UPI, or any other method agreed upon in writing.

4.1 Work Product: Upon receipt of full and final payment for a project, all creative assets, website code, and deliverables produced specifically for the Client become the intellectual property of the Client.

4.2 Third-Party Assets: Stock images, fonts, plugins, themes, and other third-party materials used in the project are subject to their respective licences. The Client is responsible for obtaining and maintaining any required licences for such assets after project handover.

4.3 O3GenAI Portfolio Rights: We reserve the right to showcase completed work in our portfolio, on our website, and in marketing materials unless the Client requests confidentiality in writing prior to project commencement.

4.4 Pre-existing IP: All tools, frameworks, methodologies, processes, templates, and code libraries developed by O3GenAI IT Solutions prior to or independently of the Client engagement remain the sole property of O3GenAI IT Solutions.

The Client agrees to:

• Provide timely feedback, approvals, and all required materials (logos, brand guidelines, images, text, credentials) as needed for project execution.

• Designate a primary point of contact with authority to approve deliverables and make decisions on behalf of the Client.

• Ensure all content provided is owned or licensed by the Client and does not infringe upon any third-party intellectual property rights.

• Not use O3GenAI's services for any illegal, unethical, or fraudulent purpose.

Delays caused by the Client's failure to provide required materials or approvals in a timely manner will not be deemed a breach by O3GenAI IT Solutions, and project timelines will be adjusted accordingly.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, client data, financial information, and unreleased marketing materials.

Confidentiality obligations do not apply to information that is publicly available, independently developed by a party, or required to be disclosed by law or court order.

7.1 No Guarantee of Results: While we are committed to delivering high-quality services, O3GenAI IT Solutions cannot guarantee specific outcomes such as a defined number of leads, a particular ROI, search engine ranking positions, or ad performance metrics, as these are influenced by factors beyond our control.

7.2 Maximum Liability: In no event shall O3GenAI IT Solutions' total liability to the Client for any claim arising from or related to these terms or the services rendered exceed the total amount paid by the Client to O3GenAI IT Solutions in the three (3) months preceding the claim.

7.3 Indirect Damages: O3GenAI IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8.1 Termination by Client: The Client may terminate a service engagement by providing fifteen (15) days' written notice. Any work completed or in progress up to the termination date will be invoiced accordingly. Advance payments for work not yet commenced may be subject to the Refund Policy.

8.2 Termination by O3GenAI: We reserve the right to terminate the engagement immediately if the Client breaches these terms, fails to make payment, or requests work that is illegal or unethical. In such cases, any unpaid balance for work completed remains due.

8.3 Post-Termination: Upon termination, O3GenAI will deliver all completed work product to the Client upon clearance of all outstanding dues.

These Terms & Conditions are governed by the laws of India. Any disputes arising from or in connection with these terms shall first be attempted to be resolved through mutual negotiation in good faith.

If the dispute cannot be resolved within thirty (30) days of written notice, it shall be subject to the exclusive jurisdiction of the courts in Palghar, Maharashtra, India.

O3GenAI IT Solutions reserves the right to update these Terms & Conditions at any time. Updated terms will be published on our website with a revised effective date. Continued use of our services after such changes constitutes acceptance of the revised terms.

For ongoing engagements, significant changes to terms will be communicated to active Clients via email or WhatsApp.
